For the virtual ethernet driver in the guest partitions (ie, domU):
linux-2.6.10-xen-sparse/drivers/xen/netfront/

For the virtual ethernet driver (and transport code) in the hosting partitions 
(ie, dom0):
linux-2.6.10-xen-sparse/drivers/xen/netback/
