If I remember right that's a mismatch between your xend and your xen kernel. I could be wrong but I've run into that before.
Start by checking the version of your xen kernel and xen itself. For instance on Linux if you used the Gitco xen 3.4.0 you need to
use the  xen.gz-3.4.0 kernel that comes with it.

It's been a while since I saw this but I'd check there first.
