I tried to upgrade it last week without success.
I follow this "howto" :

I downloaded the source package.
cd xen-4.0 make xen make tools make stubdom make install-xen make install-tools make install-stubdom make world => To download and compile the new kernel 2.6.32.x
When it's over, in my /boot directory I have the xen-4.0.1.gz, the
vmlinux-.2.6.32 but not the initrd.img-2.6.32 ?
I never compiled a kernel myself...

It's not very hard to compile Xen for Centos 5.5, I did it last week using xen 4.0.1 and 2.6.32.21 pv_op dom0 kernel. Let me know if you need any help.
