I wasted a lot of time digging internet for how to make GPL PV xen net drivers 
working on domU win2k3-sbs (xen-3.2). My problem was loosing IP configuration 
because of parallel devices rtl8139 and xen net. After setting:
vif = [ 'bridge=eth0,mac=00:16:3e:4a:0c:f4,type=vbd' ]
this problem has disappeared. Now windows sees only one network device.

Sorry for making noise if this is obvious for some of you.
