I had a similar problem and the solution was to disable checksum
offloading in the domU.

sh# ethtool -K eth0 tx off

You can add this to your /etc/network/interfaces, too..

  post-up  ethtool -K eth0 tx off


I also had to disable this in my dom0 for dhcp to work...
