Are you using iptables, LVS, or someother program that requires
intensive interaction between userland program and kernel modules?  If
yes, you'd probably get some errors or warning trying to run it. If
you don't, or whatever you use works fine, then you could stick with
your current setup.

Note that you have another option: using 32bit kernel for your domU,
located on domU's fs, and load it with pygrub. You can run 32bit domU
kernel on 64bit hypervisor just fine. This way managing domU kernel
will be similar with physical servers or VMware guest: kernel
management is done from within domU.
