after the last output, the system is hanging.
the cpu load is 100% but nothing happens

i already tried ext3 instead of reiserfs and debian etch in place of ubuntu
gutsy.

but always the same scenario...

any ideas??

Try this in the domU's filesystem:
chmod -x /lib/udev/set_hwclock
