"mkinitrd -f <outfile> <kernelversion>", so in your case it could be like 
this:

"mkinitrd -f /boot/xen-modules-2.6.12.6-xen 2.6.12.6-xen"

btw. have you noticed:
 http://packages.debianbase.de/sarge/i386/xen3/
 http://lists.xensource.com/archives/html/xen-users/2006-01/msg00641.html
 (archive is updated to the latest testing hg repository since this posting)

The kernel provided by this external archive support 3w-9xxx as module.
