Just answer myself: I forgot to load xenfs kernel module
So, for Google, just do:

modprobe xenfs

and then:

/etc/init.d/xend start

Sorry for noise.

I also need to modprobe blktap, modprobe xenfs and modprobe xen-evtchn

Only after that all work fine.
