Problem seems to be solved.

At first I had to add the line
 "alias eth0 xennet"
to /etc/modprobe.conf to tell Debian to load xennet when using eth0.

Then I had to add xennet module to my domainU by copying recursivly
/lib/modules/2.6.16-1.2096_FC5xenU from FC5 domain0 to Debian domainU.

Last thing was enabling Debian to load the needed module. Debian sarge
base config doesn't include module-init-tools which are needed to load
the 2.6.x kernel modules. I had to download the version for sarge and
install it manually.

After reboot domU Debian loads module xennet when configuring eth0.
