/dev/null: Read-only file system
You have some problems with your rights on /dev

Open your VM image,
      mount -o loop /root/fedora.img /mnt

re-copy your
      cp -ax /dev /mnt

It should be ok now.

About FC3:
The hwclock and Kudzu have to be disable
